The individual(s) viewing or otherwise using (“User” or “Users”) thatattorneyguy.com (the “Website), hereby consents, by and effective upon, the use of the Website to the following Privacy Policy, which should be read in full prior to using this website.

 The Website is owned and operated by a registered Idaho Professional Limited Liability Company, That Attorney Guy PLLC (the “Owner”) located in Nampa, Idaho.

Effective Date: Any changes to this Privacy Policy become effective immediately upon publication on the Website and will be reflected by the Last Updated date on the top of the Privacy Policy. 

Notice Not Required: Users acknowledge and agree that no notice of changes to this Privacy Policy will be specifically sent to the Users, and consent to the changes by continuing to access and use the Website. The Privacy Policy should be reviewed by the Users periodically to ensure compliance and understanding of its terms. 

Purpose: The Privacy Policy is designed to explain how the Owner collects, uses, shares, and protects the personal information provided by accessing the Website, purchase of a Template Contract, or booking through the Website, and explain your rights regarding the information collected.   

Information Collected: 

  • Personal Data: Personal Data, for purposes of this Privacy Policy, shall include information that can be used to identify the User specifically, including name, shipping address, email address, telephone number or demographic information like age, gender, or hometown. The User consents to the collection of this information by providing it on the Website, voluntarily. The User may provide some of this information to make purchases from the Website or to book a consultation. There is no obligation to provide this information, but refusal may prevent access to services or purchases.  

  • Derivative Data: Derivative data is information that the Owner’s servers automatically collect about the User through accessing the Webiste, such as IP address, browser type, the dates and times of access, and the specific pages viewed. If the User accesses the site through a mobile device, the Owner’s servers may collect information about the device name and type, phone number, and/or country of origin. 

  • Financial Data: The Owner collects financial data, only when voluntarily given, in order to allow for the purchase of Products. The Owner does not store financial data. Financial data is transferred to Our payment processors, Apple Pay, Google Pay, Affirm, Afterpay, Wix Point of Sale, and/or Tap to Pay on mobile. Payment processors each have their own Privacy Policy that the User will consent to through the purchase of a Product through the Website. Payment processors’ Privacy Policies should be reviewed to determine how they use, disclose, and protect financial data.  

  • Social Networking Data: The Website may be accessed through social networking sites and apps, including Facebook, Instagram, Linkedin, Twitter, Snapchat, and/or other social networking sites or apps not named specifically here. Therefore, the Owner may access the User’s personal information from social networking sites and apps, which may include name, Your social network username, location, email address, age, gender, profile picture and any other public information. If You do not want us to access this information, please go to the specific social networking site and change Your privacy settings.

  • Mobile Device Data: If the Website is accessed via mobile device, the Owner may collect information about the device, including ID, model and manufacturer, and/or location information. 

User Data Defined: All information collected as described above shall constitute “User Data” as used in this Privacy Policy.

User Consent to Owner Collection, Use, and/or Dissemination of User Data: 

  • Administrative: As necessary to allow or improve User interaction with the Website, facilitate the purchase and delivery of Products and related services and communications, and/or any other legitimate business purposes in the sole and absolute discretion of the Owner. This includes the required transfer of User Data to third-party payment processors, such as Apple Pay, Google Pay, Affirm, Afterpay, Wix Point of Sale, and/or Tap to Pay on mobile. Third-party payment processors facilitate payment and remit the funds to the Owner, as the Owner is not able to process payments. 

  • Legal Disclosures: As may be required by law or to respond to legal process, or necessary to protect the rights, property, and safety of the Owner or its agents. This may include sharing information with other parties to prevent or address fraud. 

  • Entity Protection: As necessary and/or prudent to protect the Owner, including to investigate and remedy any violations of the Owner’s rights or policies; and/or, as reasonably necessary for the maintenance of insurance, risk management, and/or taking or investigating legal action.  

  • Rights Reserved: The User reserves the right to share User Data with advertisers or other third parties for any legitimate business purpose that does not expose the User Data to unreasonable risk of unauthorized disclosure or fraud. If User Data is disclosed in this manner, the Owner will make reasonable efforts to inform the User if such notice is required by law. 

  • Cookies and Web Files: The Owner utilizes a log file to log visitors to the site as part of the hosting service’s analytics. Log files may include information related to browser type, internet service provider, date and/or time, and referring pages. This information is used for administrative business activities such as trend analysis and is not linked to or used for access to personally identifiable information. Sharing of cookies is dictated by User browser settings and the User may disable these settings individually at their own discretion. However, disabling cookies may result functionality issues with the Website.

  • International Transfer: As required for European Union access. The Website is hosted by United States based servers. User access from residences in the European Union will transfer User Data internationally to those servers. The Website does not offer any additional protections to the international transfer of User Data than is otherwise provided for by international law.

  • Minor Children: The Website does not solicit business from, and is not intended for use by, children under the age of 18. If you are under the age of 18, DO NOT access the Website, attempt to purchase a Product, reserve services, and/or otherwise use the Website. The Owner may collect User Data of Minors through unauthorized use of the Website. Please notify the Owner as soon as possible if you become aware of User Data of Minors that may be collected, so it can be deleted by the Owner. 

Data Retention: The Owner shall maintain User Data to the extent and for the duration necessary to conduct business for which the information was provided, other legitimate business purposes, and/or to comply with legal obligations. User Data not needed for these purposes will be deleted.  

Changes to this Policy: The Owner may change the Privacy Policy from time to time, in its sole discretion, without advanced notice to Users. Users use the Site at their own risk and assumption of these terms. 

Severability: If any portion of this Privacy Policy is deemed unlawful and/or otherwise unenforceable, all other portions will remain in full force and effect. 

Choice of Law and Venue: All terms and conditions of this Privacy Policy shall be governed by and construed in accordance with the Laws of the United States and the State of Idaho. Canyon County, Idaho and the district court therein shall be the exclusive venue for all disputes related to and/or arising out of this Privacy Policy.

Introduction

This Purchase and Sale Agreement is between You (the “Purchaser”) and That Attorney Guy PLLC for the purchase of any downloadable digital contract template or templates (“Product(s)”) through thatattorneyguy.com (the “Website”).


The Purchaser acknowledges and agrees to be bound by the following Terms and Conditions, made effective by the purchase of the Product(s) without any other conditions or declarations. If at any time, the Purchaser does not agree with these Terms and Conditions or finds them unacceptable, The Purchaser shall discontinue the use of the Product(s) immediately.

Terms and Conditions

Purchase Policies: 

  • Upon receipt and acceptance of payment, the Product(s) will be immediately delivered to you at the email address provided by the Purchaser and be available for review and download in .docx format. 

  • All Products are non-refundable. 

  • Contracts are based on generally applicable common law contract principles and may be adapted for use in any State; however, That Attorney Guy PLLC recommends that Products be verified for concerns particular to the State in which the Purchaser intends to use the Product. 

  • The Purchaser understands and agrees That Attorney Guy PLLC’s Products are not suited for use outside of the United States. The Purchaser shall modify the Product for use outside of the United States with the assistance of an authorized legal representative. 

  • The Purchaser acknowledges and agrees that the purchase and/or use of a Product does not establish an attorney-client relationship with That Attorney Guy or constitute legal advice or services for the Purchaser. 

Intellectual Property and Permitted Use: 

  • License: With the purchase of a Product, That Attorney Guy PLLC grants ONE revocable, worldwide, non-exclusive, non-transferable license to download, view, edit, copy and/or print the Product (“License”). The License shall be granted to the Purchaser solely for their individual use with their business clients or similar business use. That Attorney Guy PLLC reserves the right to invoice the Purchaser for the licenses gifted to others, revoke the License to Product(s) permanently, demand the Purchaser cease any and all use of the Product(s), and/or sue for any and all damages.

  • Modification: That Attorney Guy PLLC grants the Purchaser permission to modify Product(s) consistent with directions and notations in the Product. The limited permission to modify the Product in this way does not expand the limited License provided herein. The Purchaser shall not have any intellectual property ownership in, or be provided a general right to modification of, the Product(s). The Purchaser understands and agrees it may not distribute the Product in the form it is purchased, without completing the required fillable portions, to any person or entity other than an employee of the Purchaser. If the Purchaser distributes the Product to an employee, the employee shall be bound by the same terms as the Purchaser, and the Purchaser shall be responsible for the employee’s compliance with the Terms of Use of the Product as stated herein.

  • Reproduction: The Purchaser SHALL NOT reproduce, copy, and/or in any way utilize the Product for resale or distribution. This License shall terminate automatically if the Purchaser violates That Attorney Guy’s intellectual property rights in the Product, distributes or allows for public review or inspection of the Product in a manner inconsistent with these Terms and Conditions, and/or modifies the Product in any way beyond additions and edits necessary to customize the Product for the Purchaser’s use which are specifically notated and highlighted in the Product. 

  • Ownership and Copyright: All Products are the intellectual property of and are solely owned by That Attorney Guy PLLC. That Attorney Guy PLLC reserves and retains the sole Copyright to the Products and shall be permitted to reproduce and resell the Products in any quantity and fashion in its sole and absolute discretion. 

Acknowledgments, Warranties, and Indemnification: 

  • Errors and Omissions: While all Products are drafted and reviewed by a licensed attorney, due to their general and customizable nature, the Products may contain minor errors and/or omissions. That Attorney Guy PLLC shall be held harmless for such errors and omissions, and any inadvertent omission or error, and shall not incur liability or damages. The Purchaser agrees to report any perceived errors or omissions within the Products as soon as practicable to thatattorneyguy@gmail.com, and any reported errors or omissions will be rectified as soon as possible after discovery.

  • Limitation of Agreement: While the Product(s) will provide more extensive protection from the potential liabilities associated with your profession than generic agreements available for free online or other commonly used and generally accessible agreements, it may not cover all foreseeable liabilities and necessary additions by the Purchaser cannot be verified for adequacy or accuracy. 

  • No Guarantees or Assurances: That Attorney Guy PLLC does not provide any guarantees or assurances as to merchantability, fitness for a particular purpose, or reliability in various instances related to the use of the Product(s). The Product(s) is provided, and the Purchaser accepts them, “AS IS”. 

  • Assumption of Risk and Indemnification: The Purchaser of the Product hereby acknowledges the risks associated with its use and agrees to release and hold harmless That Attorney Guy PLLC from any and all liabilities, judgments, or amounts otherwise due, related to, or in any way arising out of, the purchase, use, distribution, and/or transfer of the Product. That Attorney Guy PLLC shall not be liable to the Purchaser or a third party, regardless of whether damages were foreseeable, the Purchaser was advised of such damages, and/or any legal or equitable theory upon which the claim is based.

  • Limitation of liability: In all cases, the Purchaser agrees the sole remedy for any actions or claims shall be limited to and shall not exceed the total monies paid to That Attorney Guy PLLC by the Purchaser for the Product(s). 

  • Age of Purchaser: The Purchaser warrants they are at least 18 years of age and otherwise legally able to enter into a valid contract.

Taxes and Fees: The Purchaser shall be responsible for all charges, fees, and taxes arising from the purchase of the Product(s). The Purchaser authorizes That Attorney Guy PLLC to use the financial transaction card (“FTC”) information submitted at checkout as the payment method for the Product(s) and associated taxes and fees. The Purchaser agrees not to dispute or attempt to chargeback, reverse, recollect, or otherwise take action with their bank and/or FTC company to avoid payment for a previously authorized payment or violate these Terms and Conditions. That Attorney Guy PLLC reserves the right to take any legal action necessary to recover the cost of disputing attempts to avoid payment. The Purchaser agrees to reimburse That Attorney Guy PLLC for all costs, fees, and expenses associated with disputing attempts to avoid payment, including, court costs and reasonable costs for attorney fees and/or time spent by That Attorney Guy PLLC.  

Severability: If any part of this Agreement is found to be invalid or unenforceable, the remainder of this Agreement shall remain valid and enforceable.

Non-waiver: Any failure by That Attorney Guy PLLC to enforce a provision of this Agreement shall not constitute a waiver of any other portion or provision of this Agreement.

No Assignment: This Agreement and/or any rights therein or arising therefrom cannot be transferred or assigned to any third party by the Purchaser. 

Dispute Resolution: If a dispute of any nature should arise from this Agreement, the Parties agree to negotiate in good faith to reach a resolution. If such a resolution cannot be reached, either Party may submit the matter to mediation. A mediator shall be selected off of the Civil Case Mediator list provided by the Idaho Supreme Court. 

Venue and Jurisdiction: This Agreement and all matters arising therefrom shall be governed by the laws of the State of Idaho. The State of Idaho, County of Canyon, shall be the sole Venue, and have exclusive Jurisdiction, for all matters arising out of, or concerning, this Agreement. 

Entire Agreement: The foregoing represents the entire understanding of the Purchaser and That Attorney Guy PLLC and supersedes any other written or oral agreements between the Parties. Any addition and/or alteration to this Agreement shall only be effective if it is in writing, signed by both Parties.
